Same problem here.

Converting MKV to mp4 using:
mencoder -channels 6 input.mkv -o output.mp4 -oac lavc -lavcopts acodec=ac3:abitrate=640 -ovc copy

Running on Ubuntu 11.04 amd64
MEncoder SVN-r33606-4.5.2
